These Terms of Service ("Terms") constitute a legally binding agreement between you and Gateway Financial Group Pty Ltd (ACN 15 627 115 619), trading as Gateway AI ("we", "our", or "us").

By accessing or using our website at gatewayai.com.au and any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services following any changes constitutes acceptance of those changes.

Gateway AI provides a suite of business automation and AI-powered tools, including but not limited to:

• TaskFlow Pro: Project and task management
• Voice Assistant: AI-powered voice agent services
• Email Marketing: Campaign creation and management
• SMS Marketing: SMS campaign management
• Gateway Sign: Electronic document signing
• Gateway Tables: Database and spreadsheet management
• Gateway Docs: Document generation and templates
• Gateway Accounts: Small business accounting and bookkeeping
• Gateway Fit: AI-powered fitness and wellness programs
• AI Chatbot: Website chatbot widget
• Automations: Workflow automation tools

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. User Accounts

Account Registration

To access certain features of our Services, you must register for an account. When registering, you agree to:

• Maintain and promptly update your account information

• Accept responsibility for all activities under your account

Refunds

Feedback

Any feedback, suggestions, or ideas you provide about our Services may be used by us without any obligation to compensate you.

Our Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy practices, or terms of these third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

8. Artificial Intelligence Disclaimer

Certain features of our Services use artificial intelligence (AI) to generate content, analyse documents, create fitness programs, and provide automated responses. By using these features, you acknowledge and agree that:

• AI-generated content is provided as a suggestion or starting point only and may contain errors, inaccuracies, or omissions
• You are solely responsible for reviewing, verifying, and validating any AI-generated outputs before relying on them
• AI-generated financial data (including extracted receipt amounts, tax calculations, and categorisations) must be verified by you or a qualified professional
• AI-generated fitness programs and meal plans are general in nature and may not be suitable for your specific circumstances
• We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content
• Documents and images you upload for AI processing may be sent to third-party AI providers (such as Anthropic) for analysis

9. Gateway Accounts — Financial Services Disclaimer

Gateway Accounts is a bookkeeping and accounting software tool. By using Gateway Accounts, you acknowledge and agree that:

• Gateway Accounts is not a substitute for professional accounting, tax, or financial advice
• We are not a registered tax agent, BAS agent, or financial adviser
• You should consult a qualified accountant, tax agent, or financial adviser for advice specific to your circumstances
• You are solely responsible for the accuracy of your financial records, tax returns, and compliance with the Australian Taxation Office (ATO) requirements
• Payroll calculations (including PAYG, superannuation, and leave accruals) are provided as tools to assist you and should be verified against current ATO rates and legislation
• Open banking connections are provided via third-party services and we are not liable for any errors in imported bank transaction data

10. Gateway Fit — Health and Fitness Disclaimer

Gateway Fit provides AI-generated fitness programs, workout tracking, and meal planning tools. By using Gateway Fit, you acknowledge and agree that:

• Gateway Fit is not a substitute for professional medical, health, or dietary advice
• You should consult a qualified medical professional before beginning any exercise program, particularly if you have pre-existing health conditions, injuries, or are pregnant
• AI-generated workout programs and meal plans are general in nature and may not be appropriate for your specific health situation
• You exercise at your own risk and assume full responsibility for any injury or health issue that may arise
• We are not liable for any injury, illness, or adverse health outcome resulting from following programs generated by Gateway Fit

11. Electronic Signatures (Gateway Sign)

Gateway Sign facilitates electronic document signing. By using Gateway Sign, you acknowledge that:

• Electronic signatures created through Gateway Sign are intended to be legally binding under the Electronic Transactions Act 1999 (Cth) and equivalent state and territory legislation
• It is your responsibility to ensure that electronic signatures are appropriate and legally valid for your specific use case and jurisdiction
• Certain documents may require wet-ink signatures by law and may not be validly executed electronically (e.g., certain property transactions, wills, powers of attorney)
• We provide audit trails and certificates of completion but do not guarantee the enforceability of any particular signed document
• You should seek legal advice if you are uncertain whether an electronic signature is appropriate for your document

12. Email and SMS Marketing Compliance

If you use our Email Marketing or SMS Marketing services to send communications, you agree to:

• Comply with the Spam Act 2003 (Cth) and the Do Not Call Register Act 2006 (Cth)
• Only send commercial electronic messages to recipients who have given their consent
• Include accurate sender identification in all messages
• Include a functional unsubscribe mechanism in all commercial messages
• Honour unsubscribe requests within 5 business days
• Not use our services to send deceptive, misleading, or fraudulent messages

We reserve the right to suspend or terminate your access to marketing features if we reasonably believe you are sending spam or violating applicable laws. You agree to indemnify us against any claims, fines, or penalties arising from your marketing activities.

13. Data Export and Account Closure

If you wish to close your account or export your data:

• You may request a copy of your data by contacting us at the details below
• We will provide your data in a commonly used, machine-readable format within 30 days of your request
• Upon account closure, your data will be retained for the minimum period required by law (generally 7 years for financial records under Australian tax law), after which it will be securely deleted
• Some data may be retained in anonymised form for analytical purposes

14. Disclaimer of Warranties

To the maximum extent permitted by law:

• The Services are provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Services will be uninterrupted, secure, or error-free
• We do not warrant the accuracy or completeness of any information provided
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement

15. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for any loss of profits, data, use, or goodwill
• Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the 12 months preceding the claim

16. Indemnification

You agree to indemnify, defend, and hold harmless Gateway AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content

17. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

18. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and any associated data
• Any provisions that by their nature should survive termination shall survive (including intellectual property, disclaimers, and limitations of liability)

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of the Services shall be resolved in the courts of New South Wales, Australia.

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute within 30 days.

20. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gateway AI regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
